This Agreement sets forth the legally binding terms and conditions for your use of the website at https://www.edplugng.com (the "Website") and the services provided.

By accessing or using the Website or our services in any manner, you agree to be bound by this Agreement. Your use of the Website signifies your unconditional acceptance of these Terms. If you do not agree to these Terms, you must not use the Website or our services.

We may update these Terms at any time without prior notice. It is your sole responsibility to review this page periodically for changes.

  1. Definitions

    For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:

    • "EDPlugNG", "We", "Us", or "Our" refers to the owner and provider of this Website and its services.
    • "Website", "Blog", or "Platform" refers to EDPlugNG, accessible at https://www.edplugng.com.
    • "User", "You", or "Your" refers to any natural or legal person accessing the Website or using the Services.
    • "Product" refers to any digital item listed by EDPlugNG, including but not limited to gift cards, vouchers, airtime, and mobile data.
    • "Service" or "Services" includes the exchange services, bill payments, and any escrow or marketplace facilitation offered by EDPlugNG.
    • "Buyer" refers to any User purchasing Products from EDPlugNG or its Marketplace.
    • "Seller" refers to any User selling Products to EDPlugNG or its Marketplace.
    • "WhatsApp" refers to the primary communication channel used by EDPlugNG for transactional purposes.
    • "Marketplace" refers to WhatsApp groups and communities created and managed by EDPlugNG to facilitate peer-to-peer transactions.

  2. User Eligibility and Age Requirement

    The Service is intended solely for Users who are at least eighteen (18) years of age or older. Any access to or use of the Service by anyone under 18 is expressly prohibited. By accessing or using the Service, you represent and warrant that you are 18 or older and have the full legal capacity to enter into a binding contract with EDPlugNG.

  3. User Conduct and Rules of Engagement

    To ensure efficient and respectful service, all Users agree to adhere to the following rules of engagement:

    1. Primary Channels: All transactions and related communications shall be conducted primarily via WhatsApp. Payments shall be made via Nigerian bank transfer or another payment method explicitly stated by Us. Please note that all completed transactions are final and non-refundable.
    2. Communication Protocol: All communications must be conducted strictly via WhatsApp text messages. Voice or video calls are not permitted unless explicitly requested by Us. Users must first follow all instructions outlined in the relevant articles on our Website before initiating contact. Abusing the WhatsApp call feature may result in being blocked.
    3. Clarity and Conciseness: To ensure a prompt response, you must be clear and detailed in your enquiries. Vague messages may not receive a response. To save time for all parties, please be direct and follow all instructions.
    4. Working Hours: You may send a message at any time, which will be attended to during our working hours (8:00 AM to 11:59 PM, WAT/GMT+1). WhatsApp calls should not be made outside of these hours.
    5. Urgent Enquiries: You may use the WhatsApp call feature moderately to draw our attention to a message only if all the following conditions are met:
      • You have followed all instructions and are ready to complete a transaction.
      • You have not received a response for more than five (5) minutes within our working hours.
      • Your transaction is genuinely urgent.

      Once a transaction is in progress, further calls are unnecessary, as we will provide an update upon completion.

    6. Respectful Interaction: You must be courteous and respectful in all communications. Any abusive, disrespectful, or fraudulent conduct will result in being permanently blocked from our services.
    7. Right to Refuse Service: We reserve the right to refuse a transaction or decline to respond to any message at our sole discretion, particularly if a User has violated these Terms, has not followed instructions, or is not serious about transacting. If you have concerns about legitimacy, please conduct your own research before contacting Us.
    8. Prohibited Use: You shall not use any of the Services in connection with any criminal or illegal activities, including but not limited to fraud or money laundering. All funds used for payment must legally belong to you or you must be fully authorised to use them.

  4. Description of Services

    1. Digital Product Delivery: As all Products and Services are digital, they will be delivered digitally, either directly to a User's specified account or sent as an activation code, licence key, or voucher to the User's direct message channel on WhatsApp.
    2. Exchange Services: We provide services that allow Users to exchange certain digital Products for cash, including the conversion of airtime and gift cards, and the exchange of e-currencies (e.g., Skrill).
    3. Marketplace and Escrow Facilitation:
      1. Role as Intermediary: EDPlugNG provides a WhatsApp Marketplace to facilitate peer-to-peer transactions between its community members. All sales contracts are made exclusively between the Buyer and the Seller. We do not own, store, or handle Products sold by third-party Sellers.
      2. Disclaimer of Liability: EDPlugNG does not guarantee and is not responsible for the quality, safety, legality, or reliability of any Seller, Product, or transaction conducted through the Marketplace. We explicitly disclaim all liability for losses or damages arising from such transactions.
      3. Escrow Service: We may offer an optional escrow service where we hold funds until a transaction is fulfilled to the satisfaction of the parties involved. You agree and acknowledge that:
        • This service is for transactional safety only and does not create a fiduciary or custodial relationship.
        • EDPlugNG does not operate as a licensed escrow or payment institution.
        • Funds held do not earn interest and are not insured.
        • Our decisions regarding the release of funds in a dispute are final and binding on both the Buyer and the Seller.

  5. Payments and Transactions

    Rejection or Delay of Payment: The use of a bank account or electronic funds transfer may be limited by your agreement with your financial institution and/or by applicable law. We are not liable to any party if we delay or do not complete a transaction as a result of any such limit, or if a financial institution fails to honour any credit or debit.

  6. Intellectual Property Rights

    1. Proprietary Rights of EDPlugNG: You acknowledge and agree that the Service and all its Content, features, and functionality—including but not limited to all information, software, code, text, graphics, images, video, and audio, and the "look and feel" thereof—are the sole and exclusive property of EDPlugNG or its licensors and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.
    2. Limited Licence: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and Content strictly for your personal, non-commercial use, in full compliance with these Terms. No right, title, or interest in the Service or Content is transferred to you.
    3. Prohibited Uses of Our Content: You shall not reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any of our Content without our prior written consent.
    4. Trademarks: The EDPlugNG name, logo, and all related names and slogans are trademarks of EDPlugNG. You must not use such marks without our prior written permission.
    5. Attribution and User Content Licence: By submitting any content to us (including reviews, testimonials, comments, and screenshots of transactions, collectively "User Content"), you grant EDPlugNG a perpetual, irrevocable, worldwide, royalty-free, and sublicensable licence to use, reproduce, modify, display, and distribute such User Content for any purpose, including for operating, promoting, and marketing our Service. This includes the right to use your name, likeness, or other proprietary marks provided in connection with your User Content. You represent and warrant that you own or control all rights to your User Content and have the right to grant this licence.
    6. Third-Party Intellectual Property: All trademarks and logos of products (e.g., gift cards) listed on the Platform are the property of their respective owners. EDPlugNG claims no ownership over such marks and uses them solely for identification purposes.
    7. Claims of Copyright Infringement: We respect the intellectual property rights of others. If you believe your copyrighted work has been infringed upon, please submit a notification to our Designated Copyright Agent at [email protected] with the subject line "Copyright Infringement Notice". Your notice must include all information required by law, such as identification of the work, your contact details, and a statement made under penalty of perjury that you are the authorised owner.

  7. Disclaimers and Limitation of Liability

    1. Disclaimer of Warranties: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EDPLUGNG EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
    2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EDPLUGNG, ITS AFFILIATES, OR THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. IN THE EVENT THAT ANY PART OF THIS LIMITATION IS FOUND TO BE UNENFORCEABLE, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL PROFIT MADE BY EDPLUGNG FROM YOUR TRANSACTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (b) FIFTY THOUSAND NIGERIAN NAIRA (₦50,000.00).
    3. Third-Party Links and Services: Our Service may contain links to third-party websites or services that are not owned or controlled by EDPlugNG. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party services. You access them at your own risk and expressly relieve EDPlugNG from any and all liability arising from your use thereof.

  8. Indemnification

    You agree to defend, indemnify, and hold harmless EDPlugNG, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of this Agreement; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your User Content caused damage to a third party. This obligation will survive the termination of this Agreement.

  9. General Provisions

    1. Force Majeure: EDPlugNG shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, war, pandemics, government orders, or failures of telecommunications or internet services.
    2. Changes to the Agreement: We reserve the right, in our sole discretion, to modify this Agreement at any time. All changes are effective immediately upon posting. Your continued use of the Service constitutes your acceptance of the revised Terms.
    3. Language: This Agreement has been written in the English language. Any translation is provided for convenience only. In the event of a conflict, the English language version shall prevail and be the sole governing document.
    4. No Waiver: No failure or delay by EDPlugNG in exercising any right under this Agreement will operate as a waiver of that right. Any waiver must be in writing and signed by Us to be effective.
    5. Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
    6. Governing Law and Jurisdiction: This Agreement, and any dispute arising out of it, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria to resolve any legal matter arising from this Agreement.
    7. Dispute Resolution by Binding Arbitration: We encourage you to contact us first to resolve any dispute informally. If a dispute cannot be resolved, you agree that any claim or dispute shall be resolved by binding arbitration under the Arbitration and Conciliation Act of Nigeria. The arbitration shall take place in Lagos, Nigeria. YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
    8. Relationship of the Parties: Nothing in this Agreement shall be construed as creating any agency, partnership, or joint venture between you and EDPlugNG.
    9. No Third-Party Beneficiaries: This Agreement is for the benefit of you and EDPlugNG only and is not intended to confer any rights or benefits on any third party.
    10. Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire and exclusive understanding and agreement between you and EDPlugNG regarding your use of the Service. This Agreement supersedes and replaces any and all prior oral or written understandings or agreements between you and EDPlugNG.
